Our client is a large multinational financial services company. This is a rapidly expanding company.

Head of Legal and Compliance

Responsibilities:

Legal

  • Overseeing the provision of legal services, company secretarial services and compliance advice to the business
  • Overseeing the provision of legal advice, including the review of commercial agreements such as distributor agreements, outsourcing agreements, etc.
  • Overseeing the review of marketing materials, submissions for the Group product review process and submissions to the MoF as required. Undertaking oversight review of all customer facing materials, as required
  • Liaising on all business with the relevant regulators as and when necessary, including managing licensing issues, product filings and rate filings. Overseeing the strategy for managing regulatory relationships.
  • Instructing external counsel, as required, and managing an approved legal panel process.
  • Implementing processes to ensure the businesses are aware of and understand their legal obligations, key legal and regulatory developments and follow a robust legal review process.

 Compliance

  • Overseeing the Compliance team, including the preparation of compliance plans, risk assessments, the implementation of local, regional and Group policies and the provision of consistent and quality compliance advice.
  • Ensuring the requisite Compliance monitoring and testing is in place in accordance with an agreed compliance plan.
  • Arranging or overseeing the provision of compliance related training for the businesses.
  • Overseeing investigations and the dispute resolution process on behalf of the businesses.

 Company Secretarial & Governance

  • Overseeing all company secretarial matters, developing the function and implementing the   necessary processes to ensure that sound corporate governance practices are implemented throughout the businesses.
  • Ensuring appropriate legal delegations of authority are in place and advising on corporate authority issues.

Management

  • Selecting, coaching and developing a team to enable them to provide the necessary standard of legal and compliance advice and oversight and company secretarial support to the business.
  • Attending executive management committees, as required, and ensuring at all times that the needs of the business are identified and addressed in relation to legal and compliance support.
  • Responsibility for monthly local, regional and group reporting for the businesses and the Group Legal function and escalating material issues in an effective and timely manner.
  • Managing a functional budget, including managing external legal costs and the expenditure approval process.

Travel & Other Requirement

Some travel may be required from time to time, in particular to Hong Kong, Singapore and Europe.

The candidate will need to be confident in building relationships within the different businesses, within the regional office and at Group level. This role will involve a high-degree of interaction with the business to ensure understanding of key business priorities, such as product development and distribution needs and will also involve a significant amount of management expertise and exposure to senior regional and Group level executives.

Key Selection Criteria:

  • A minimum of 7 years post qualified experience much of which has been spent in a legal and compliance environment.
  • Recognised legal qualifications.
  • Extensive life insurance experience with large multinational corporations will be considered an advantage but the successful candidate must have a minimum of 2 years of experience working with a large multinational corporation in a comparable role leading the legal AND compliance functions.
  • Experience leading, training and supervising a team of legal and compliance professionals.
  • Strong regulatory knowledge; experience of dealing with the Indonesian is a must. It would be advantageous if he/she has experience working with other global regulators.
  • Excellent communication skills both verbal and written. Additionally, applicants will be Bilingual English and Bahasa.
  • Experience of expanding a compliance division/team very desirable.
  • Comfortable with working in a technology driven environment with a great deal of responsibility and autonomy.
  • Desire to contribute to the company’s success in areas beyond the core legal and compliance areas.
  • A strategic thinker with a flair for delivering quality/consultative response to internal clients.
  • Able to manage a wide range of projects simultaneously.
  • An individual that possesses excellent interpersonal, analytical and team skills with proven abilities in delivering high quality output on a timely basis.
  • Ability to work under pressure and meet deadlines.
  • Have experience dealing with the senior levels of the organisation in a commercial and pragmatic manner.
  • Highly organised with strong attention to detail.
  • Excellent understanding of legal and regulatory landscape in Indonesia.
  • Ability to prioritise tasks effectively.
  • Previous experience working in a matrix environment.
  • Significant experience in Company and Employment law.
  • Proven ability to provide concise, accurate and timely legal advice in a commercial context.
  • Extensive experience in quickly digesting complex legal issues.
  • Excellent judgment and decision making skills.
  • Initiative and problem-solving skills.
  • Ability to influence at a senior level.

Requirements:

Qualification

  • Qualified to practise law in Indonesia. A qualification to practise law in another key jurisdiction, such as Singapore, England & Wales, New York or Australia would be an advantage.
  • Fluent Bahasa and English skills (both spoken and reading/writing) are required.

Knowledge

  • Knowledge of the financial services industry, preferably the insurance industry
  • Regulatory knowledge relating to the financial services, preferably relating to insurance, securities regulations and/or pensions regulations. 

Technical Skills

  • At least 7 years PQE, preferably from a general corporate/commercial or litigation background with experience of the financial services industry.

Experience leading an in-house team in an insurance company will be a distinct advantage.
